These Terms and Conditions ("Terms") govern your use of our services, including our software, APIs, websites, and any other tools we provide. By accessing or using our services, you agree to be bound by these Terms and acknowledge our commitment to upholding rigorous standards of compliance, including SOC 2. We encourage you to review this document carefully, as it outlines the responsibilities, rights, and expectations of all parties involved. These Terms apply to all users-whether individuals, companies, or their agents-interacting with our services. They also define our approach to security, intellectual property, data processing, and account management. If you do not agree with any part of these Terms, you should not access or use our services. Use of our platform implies full consent and legal agreement to the policies detailed in this document.
2. Definitions
For clarity and consistency, the following definitions apply throughout these Terms: "Paradigm Networks" refers to our company and its platforms, applications, and services. "User" refers to any individual or organization accessing the Services. "Content" includes all data, text, files, and other materials provided by Users or Paradigm Networks. "Confidential Information" refers to non-public business, technical, or financial information disclosed under confidentiality obligations. "Platform" means our secure, cloud-based system for developing, deploying, and managing agentic AI applications. These definitions ensure mutual understanding and help define the responsibilities of both Paradigm Networks and Users under SOC 2 principles of security, confidentiality, and availability. A clear understanding of terminology supports robust governance and operational integrity. Throughout this document, unless otherwise indicated, the singular includes the plural and vice versa, and the masculine includes the feminine and vice versa.
3. Acceptance of Terms
By registering an account, accessing the Services, or otherwise engaging with Paradigm Networks, you affirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you confirm that you are authorized to enter into this agreement on behalf of that entity. Your acceptance of these Terms is required to access our SOC 2-aligned features, including secure data processing, permissioned collaboration, and audit-logging functionality. Continued use of the Services after any updates or modifications to these Terms also constitutes acceptance. Paradigm Networks may revise these Terms periodically to reflect changes in law, regulatory requirements, or platform enhancements. Notice of changes may be provided via email or in-product notifications. You are responsible for reviewing the Terms periodically. If you do not accept any changes, you must discontinue use of the Services immediately. Acceptance is a foundational aspect of maintaining compliance and governance over enterprise-level operations.
4. Description of Services
Paradigm Networks offers a robust platform for developing, deploying, and governing AI-driven applications, including tools for LLM orchestration, enterprise chat, knowledge-grounded agents, and custom workflows. We enable integrations with corporate systems for seamless identity, access, audit, and monitoring capabilities. Our offerings are tailored for organizations seeking secure and compliant AI operations.
5. User Responsibilities
Users are expected to use the Services responsibly and in compliance with all applicable laws and regulations. You agree not to misuse the Services or assist anyone else in doing so. This includes but is not limited to unauthorized access, interference with service functionality, reverse engineering of any system component, or engaging in any conduct that could compromise the confidentiality, integrity, or availability of the platform. As part of SOC 2 compliance, we mandate that Users uphold strict access controls, implement password hygiene practices, and use secure connections when interacting with Paradigm Networks. Users must also report any potential security vulnerabilities or suspicious activities immediately. Failure to comply with these responsibilities may result in suspension or termination of access. Additionally, if you are granted access to confidential or proprietary data, you are expected to treat such information with the highest standard of care. Paradigm Networks provides audit mechanisms and logs to monitor usage for accountability and compliance purposes.
6. Account Security
Account security is a shared responsibility between Paradigm Networks and the User. Upon creating an account, you agree to maintain the confidentiality of your login credentials and take appropriate measures to secure them from unauthorized access. You are fully responsible for all activities that occur under your account. We strongly recommend using multi-factor authentication (MFA), complex and unique passwords, and secure browsers to access the platform. Paradigm Networks maintains advanced encryption and intrusion detection systems to help protect user accounts in accordance with SOC 2 security criteria. However, any compromise resulting from negligent account practices by the User is not the liability of Paradigm Networks. If you suspect unauthorized access to your account, you must notify us immediately so we can initiate containment, investigation, and recovery procedures. Consistent with SOC 2 trust principles, we log and audit authentication attempts, monitor account behaviors, and enforce secure session expiration mechanisms to help prevent unauthorized access or abuse.
7. Data Privacy and Processing
Paradigm Networks is committed to protecting your personal and organizational data in accordance with our Privacy Policy and SOC 2 privacy principles. We process data strictly for the purposes outlined in our service offerings and never sell user data to third parties. All data transfers are encrypted in transit and at rest using industry-standard protocols. Access to sensitive data is restricted to authorized personnel who require access for operational or support purposes. We employ strict data minimization practices and ensure that only the minimum necessary data is collected to perform essential services. Data retention schedules are enforced to ensure personal data is not kept longer than necessary, and you may request deletion of your data in accordance with applicable regulations. In alignment with SOC 2 controls, we regularly assess the effectiveness of our data processing systems through internal audits and third-party assessments. 7. Intellectual Property Rights
All intellectual property on the Paradigm Networks platform-including software, designs, graphics, trademarks, and original content-is the sole property of Paradigm Networks or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the services solely for your internal business purposes. Any reproduction, distribution, reverse engineering, or modification of our proprietary content without prior written consent is strictly prohibited. All trademarks, service marks, and logos displayed are protected by applicable intellectual property laws and may not be used without express permission. Users retain ownership of their own uploaded data and configurations but grant Paradigm Networks the rights necessary to operate the platform, including storing, processing, and transmitting that data. We take IP violations seriously and will respond to credible infringement notices in accordance with the DMCA or other relevant laws. Our protection of intellectual assets is an essential component of maintaining the integrity and security posture outlined in our SOC 2 compliance efforts.
8. Security and SOC 2 Compliance
Paradigm Networks maintains a SOC 2-compliant environment with strict controls for security, availability, and confidentiality.

9. Prohibited Uses
You agree not to use the Services to engage in illegal, harmful, or unauthorized activities. This includes, but is not limited to, transmitting malware, infringing copyrights or trademarks, harvesting data unlawfully, attempting unauthorized system access, or disrupting normal operations. Use of the platform to violate privacy rights, conduct discrimination, or promote hate speech is strictly forbidden. Paradigm Networks reserves the right to investigate and take appropriate action, including suspension or termination, against any user violating these prohibitions.
10. Confidentiality
Both parties acknowledge that during the course of usage, confidential information may be exchanged. Each party agrees to maintain the confidentiality of such information using at least the same degree of care as it employs for its own confidential data, but no less than reasonable care. Confidential information shall only be used for purposes of performing obligations under these Terms and not disclosed to unauthorized third parties. Exceptions apply as required by law or regulatory authorities. These provisions support SOC 2 confidentiality requirements and protect proprietary business data.
11. Third-Party Services
Paradigm Networks may integrate or link to third-party services to enhance functionality. We do not control these external services and are not responsible for their content, privacy policies, or practices. Use of third-party services is at your own risk, and you should review their terms independently. Paradigm Networks is committed to selecting reputable partners who meet our security and privacy standards to maintain compliance.
12. Service Availability and Maintenance
We strive to ensure the availability, reliability, and performance of the Services with minimal downtime. Scheduled maintenance, upgrades, or emergency fixes may cause temporary interruptions. We provide advance notice where feasible and use best practices to minimize impact. Despite best efforts, no system is infallible, and occasional outages may occur. Paradigm Networks implements robust monitoring and incident response protocols aligned with SOC 2 criteria to address service interruptions promptly.
13. Limitation of Liability
To the fullest extent permitted by law, Paradigm Networks shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Services. This includes lost profits, data loss, or business interruption. Our total liability for direct damages shall not exceed the amount you paid for the Services during the prior 12 months. Nothing in these Terms limits liability for gross negligence, willful misconduct, or breaches of data protection laws. You agree to use the platform responsibly and at your own risk.
14. Indemnification
You agree to indemnify, defend, and hold harmless Paradigm Networks and its affiliates, officers, and employees from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party. This provision protects Paradigm Networks against misuse and legal risks resulting from user actions.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California. You agree to submit to personal jurisdiction in these courts and waive objections to venue. This choice supports consistent enforcement and dispute resolution.
16. Termination
Paradigm Networks may suspend or terminate your access to the Services at any time, with or without cause, including violations of these Terms or security policies. Upon termination, your rights to use the Services immediately cease, and we may delete or archive your data per our data retention policies. Certain provisions such as confidentiality, indemnification, and limitation of liability shall survive termination. We recommend that users backup or export important data regularly. Termination is an important mechanism to protect platform integrity and security.
17. Changes to Terms
We reserve the right to update or modify these Terms at any time to reflect legal, regulatory, or operational changes. Significant changes will be communicated through email or product notifications. We work continuously to maintain a secure environment and mitigate risks associated with cyber threats or unauthorized access.
20. User Support
We offer support services to assist Users with technical issues, account management, and inquiries. Support is available via email, chat, or ticketing systems during designated hours. We strive for timely and effective resolutions while protecting your data privacy and security throughout support interactions. Users should provide accurate information to facilitate troubleshooting. Support availability and scope may vary and are subject to change.
